Trân trọng kính mời quý cựu đồng nghiệp và quý thân hữu đến tham dự Đại hội khoáng đại và Họp mặt Tân Niên sẽ được tổ chức từ 10 giờ sáng đến 3 giờ chiều ngày Thứ bẩy 14 tháng 3 năm 2015 (tức là ngày 24 tháng Giêng năm Ất Mùi).
Trong Đại hội khoáng đại chúng ta sẽ biểu quyết về việc tu chính Nội quy, đổi tên hội và bầu ban Chấp hành mới nhiệm kỳ 2015-2017.

Ðóng góp: Ðể việc vui xuân được thoải mái, xin quý vị vui lòng đóng góp tại chỗ cho ban tổ chức (25 mỹ kim/người).
Vì không có đầy đủ địa chỉ của tất cả các cựu đồng nghiệp và thân hữu, Ban Tổ chức kính nhờ quí vị¸ sau khi nhận được thư này, vui lòng sao gửi hoặc thông báo cho các bạn khác để Đại hội và cuộc Họp mặt Tân niên của chúng ta được thêm phần đông đảo. ARTICLE 1. NAME
The name of this association is THE ASSOCIATION OF VIETNAMESE EDUCATORS IN SOUTHERN CALIFORNIA.
ARTICLE 2. OFFICE
The principal office for the transaction of business of this association is located in the County of Orange, State of California.
ARTICLE 3. PURPOSE
The purposes for which this association is formed are:
a) To promote friendship and mutual assistance among non-communist Vietnamese educators now living in the United States and especially in southern California.
b) To serve as an educational and cultural association for Vietnamese youth and adults through awards, scholarships, dissemination of information and materials, conferences, seminars, etc…
ARTICLE 4. MEMBERSHIP
Section 1. Any Vietnamese educator, whether teaching or non-teaching staff, public or private, elementary, secondary or higher education, part-time or full-time may become a member of this association upon filling out an application form and paying her/his membership dues.
Section 2. Membership in this association shall consist of regular members and such other associate, honorary members as may from time to time be approved by the Executive Board.
Section 3. The regular members of this association have the right and obligation to the following exercises:
a) Vote. – All members have the right to be informed of all the activities of the association, to vote at all meeting of members.
b) All members are obliged to respect and follow the organizing principles of the association.
Section 4. Nominal membership dues shall be determined by the Executive Board.
a) Any member, regular or otherwise, may terminate his/her membership at any time upon delivery to the Secretary of this association a written letter of resignation.
b) The association, at its option, may terminate any membership of whatever type, for any infraction of the By-Laws, rules and/or regulations of this association or for other good and valid reason, such as any relationship with the communists, as the Executive Board shall determine.
c) All memberships, of whatever type, shall be for the life of such member or until otherwise terminated.
Section 6. There shall be an Annual Membership Meeting of all members and friends of this association to be announced on the occasion of Vietnamese New Year for the purpose of the following year agenda.
Section 7. Special Membership Meeting may be called as needed by the Executive Board which shall announce the time and location at least one month in advance.
ARTICLE 5. EXECUTIVE BOARD
Section 1. This association shall be governed by an Executive Board elected by the Membership Meeting and consisting of the following officers:
a) 1 President
b) 2 Vice-Presidents
c) 1 Secretary
d) 1 Treasurer
e) A number of committee chairpersons shall be determined by the Executive Board as needed.
Section 2. All the officers of the Executive Board shall be regular member in good standing and shall be elected for a two (2) years term.
The President of the Executive Board shall not serve more than two (2) consecutive terms.
ARTICLE 6. DUTIES OF OFFICERS
Section 1. Duties of the President:
The President shall be the Chief Executive of the association and shall consult with the Executive Board, and it shall be his/her duties:
a) To perform all such duties as are incident to his office, and such other duties as may be required by law or by these By-Laws, or which may be prescribed from time to time by the Executive Board.
b) To preside over all meeting of the Executive Board.
c) To appoint all committee chairpersons with the approval of the Executive Board.
d) To have and cast his vote on all matters before the association.
e) To be an ex-officio member of the Executive Board for one (1) year after the expiration of his/her term of office.
f) To preside over at all meeting of the association and to see that all meeting are conducted in an orderly manner and that all officers perform their respective duties.
g) To sign contracts and any other instruments connected with the business affairs and professional activities of the association, for or on behalf of the association.
h) To make an annual report of the association activities to the general meeting.
Section 2. Duties of the Vice-President:
The Vice-President shall act in the place of the President during the latter’s absence. He/she shall assist the President in the management of the business affairs of the association and shall perform such other duties as may be imposed by law or as may be prescribed from time to time by the Executive Board. The Executive Board shall decide which Vice-President will act in the place of the President during the latter’s absence.
Section 3. Duties of the Secretary:
The Secretary shall:
a) Keep all the records of the association and the original or a copy of these By-Laws as amended or otherwise altered to date.
b) Be custodian of the records and of the seal of the association.
Section 4. Duties of the Treasurer:
The Treasurer shall receive and safely keep all monies of the association entrusted to his/her care and shall disburse the same under the direction of the Executive Board. He/she shall render a statement at the annual meeting of members and at such other times as may be requested by the Executive Board. He/she shall keep a completed account of the finances of the association on books which shall be and remain the property of the association and shall be open for inspection at any reasonable time by the officers. He/she shall perform such other duties as may be imposed by law or may from time to time be prescribed by the Executive Board.
ARTICLE 7. AMENDMENTS
Section 1. These By-Laws, or any part of thereof, may be amended by a two-third (2/3) majority vote cast at the annual membership meeting of the association.
Section 2. The method and/or procedure of amendment shall be determined by the Executive Board.
